Terms of Use

Introduction

Menta ("Menta," the "Company," "we," "us," or "our") is a software development company specializing in the creation and deployment of decentralized technologies, with a particular focus on leveraging the Solana blockchain. Menta operates and maintains a top-level domain website accessible at https://menta.fun/ (the "Site"), which serves as a comprehensive resource for information regarding Menta, its service offerings, and its product portfolio. The Site, along with its associated subdomains, may include, but is not limited to, text, images, audio, code, and other multimedia materials, as well as third-party information and resources.

These Terms of Use ("Terms" or "Agreement") establish the legal framework governing your access to and use of the Site and its associated functionality (collectively referred to as the "Functionality"). By accessing or using the Site or Functionality in any manner, you acknowledge and agree to be bound by these Terms, which constitute a legally binding agreement between you and Menta. If you are accessing or using the Site or Functionality on behalf of an entity, organization, or other legal structure, you represent and warrant that you have the requisite authority to bind such entity to these Terms.

Agreement to Terms; Privacy Policy

Prior to accessing or using the Site or Functionality, you are required to carefully read and understand these Terms. Your use of the Site or Functionality is expressly conditioned upon your acceptance of these Terms. By accessing or using the Site, Functionality, or any content therein (collectively referred to as "Content"), or by clicking a button or checkbox to indicate your acceptance of these Terms where such an option is provided, you:

  1. Accept and agree to be bound by these Terms in their entirety; and
  2. Consent to the collection, use, disclosure, and other handling of your information as described in Menta's Privacy Policy, which is available at [insert link] (the "Privacy Policy").

The Privacy Policy is incorporated into these Terms by reference, and all references herein to the "Terms of Use," the "Terms," or this "Agreement" shall include the Privacy Policy.

Menta Bot and Services

Menta provides users with access to certain software applications, including but not limited to its Telegram-integrated application, known as the Menta Bot (the "Bot," collectively referred to as the "App" or "Service"). The App is designed to enable users to perform a variety of functions, including but not limited to:

  1. Pulling data from and linking to decentralized applications ("Dapps"), including decentralized exchanges;
  2. Initiating user-requested swaps of digital assets on a peer-to-peer basis using the built-in technologies of third-party Dapps (the "Swap Function");
  3. Viewing addresses and information that are part of digital asset networks, as well as broadcasting transactions through the use of other Dapps or centralized data sources; and
  4. Accessing additional services or functionality as may be introduced by Menta from time to time.

Collectively, the features and capabilities provided by the App are referred to as the "Functionality."

Arbitration Notice

For users located in the United States and Canada, these Terms include a mandatory arbitration provision. By accessing or using the Site or Functionality, you agree that any disputes arising between you and Menta shall be resolved through binding, individual arbitration. You further agree to waive your right to a trial by jury or to participate as a plaintiff or class member in any purported class action or representative proceeding. This arbitration provision is detailed further below under the heading "Mandatory Arbitration."

Private Beta Program

The Menta Service is currently in a Beta testing phase. Your participation in the Private Beta Program is at the sole discretion of Menta and is personal to you, meaning it is non-transferable to any other person or entity. You are permitted to access and use the Service solely for lawful purposes.

You acknowledge and understand that the Service, its features, Functionality, and any data transmitted through the Service are being provided as part of a limited Beta Program to test early features of the Service and its underlying code base. The Service is made available on an "AS-IS" and "AS-AVAILABLE" basis for the purpose of testing and providing Menta with feedback regarding its quality and usability.

As part of the Beta Program, Menta may, from time to time, introduce new or updated pre-release features and trial services for your use. You understand that Menta is under no obligation to provide you with access to any Beta Program features. If you choose to use Beta Program features, you agree to abide by any rules or restrictions that Menta may impose on such features. By using the Beta Program, you agree to be bound by these Terms with the same force and effect as if the Service were a fully released product.

Menta reserves the right to discontinue or modify any Service or feature of the Beta Program at any time without prior notice. You acknowledge that once you access or use Beta Program features, you may be unable to revert to an earlier version of the same or similar feature. Additionally, if such reversion is possible, you may not be able to return or restore data created within the Beta Program feature to the earlier version. Beta Program features may contain errors or inaccuracies that could cause failures, disruptions, downtime, corruption, or loss of data, digital assets, or information from any connected device. You acknowledge and agree that all use of Beta Program features is at your sole risk, and by using the Service, you are bound by these Terms.

Feedback

Menta welcomes and encourages feedback, comments, ideas, and suggestions for improvements to the Site and Functionality ("Feedback"). By submitting Feedback, you grant Menta a non-exclusive, worldwide, perpetual, irrevocable, fully-paid, royalty-free, sublicensable, and transferable license under any and all intellectual property rights that you own or control to use, copy, modify, create derivative works based upon, and otherwise exploit and commercialize the Feedback and any such derivative works or improvements in any manner and for any purpose.

Changes to Terms or Services

Menta reserves the right to modify these Terms at any time at its sole discretion and without prior notice. If Menta makes material changes to these Terms, it will make reasonable efforts to notify you, either by posting the modified Terms on the Site, providing notice through the App, or through other methods of communication deemed appropriate by Menta. It is your responsibility to review the Terms whenever they are modified. Your continued use of the Site or Functionality after any modifications to the Terms constitutes your acceptance of the modified Terms.

If you do not agree to be bound by the modified Terms, you must immediately cease all use of the Site and Functionality. Menta also reserves the right to change or discontinue any part of the Site or Functionality at any time and without notice, in its sole and absolute discretion.

Third-Party Services

The Functionality may rely on or integrate with third-party services, including but not limited to decentralized exchanges and other Dapps. Your use of such third-party services is subject to their respective terms of use, privacy policies, and fee structures. Menta is not responsible for the content, functionality, or fees associated with third-party services. To the extent that third-party terms conflict with these Terms, these Terms shall control to the maximum extent permitted by law.

Eligibility

You may use the Site and Functionality only if you are of the age of majority in your jurisdiction of residence and are not barred from using the Site or Functionality under applicable law. By using the Site or Functionality and agreeing to these Terms, you represent and warrant that:

  1. You are of lawful age and have the legal capacity to enter into contracts;
  2. If you are entering into this Agreement on behalf of an entity, you have the legal authority to bind that entity to these Terms; and
  3. Neither you nor any person that owns or controls you is subject to sanctions or otherwise designated on any list of prohibited or restricted parties, including but not limited to lists maintained by the United Nations Security Council, the U.S. Department of Treasury, the U.S. Department of Commerce, or other applicable government authorities.

Account Registration and Security

To access certain features of the Site or Functionality, you may be required to create an account with Menta or a third party ("Account"). You agree to provide accurate, complete, and up-to-date information during the registration process and to promptly update such information as necessary. You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You agree to notify Menta immediately of any unauthorized use of your Account or any other breach of security.

Menta reserves the right to suspend or terminate your Account if you provide inaccurate, untrue, or incomplete information, or if you fail to comply with the Account registration requirements or these Terms. Your access to and use of the Site or Functionality may be suspended or terminated at any time, for any reason, in Menta's sole discretion, without incurring liability of any kind to you.

Prohibited Conduct

As a condition of using the Site and Functionality, you agree not to engage in any of the following prohibited activities:

  1. Violating, misappropriating, or infringing the rights of Menta, its licensors, users, or others, including privacy, publicity, intellectual property, or other rights;
  2. Engaging in illegal, obscene, defamatory, threatening, intimidating, harassing, hateful, or racially or ethnically offensive conduct;
  3. Making false or misleading statements, including impersonating another person or entity;
  4. Sending unsolicited or unauthorized communications, such as spam or auto-messaging;
  5. Circumventing or attempting to circumvent any technological measures implemented by Menta or its service providers to protect the Site or Functionality;
  6. Interfering with or disrupting the access of any user, host, or network, including by transmitting viruses, overloading, flooding, spamming, or mail-bombing the Site or Functionality;
  7. Violating any applicable law or regulation, including but not limited to anti-money laundering, anti-terrorism financing, and export control laws; or
  8. Encouraging or enabling any other individual to engage in any of the foregoing activities.

Content Ownership

For purposes of these Terms, "Content" refers to text, graphics, images, music, software, audio, video, works of authorship, and information or other materials that are posted, generated, provided, or otherwise made available through the Site or Functionality. "User Content" refers to any Content that users (including you) upload, submit, store, send, post, or otherwise make available on the App, through the Site, or on Telegram channels integrated with the Functionality.

Menta does not claim ownership of User Content. However, by submitting User Content, you grant Menta a worldwide, non-exclusive, royalty-free, fully-paid, perpetual, irrevocable, sublicensable, and transferable license to use, copy, distribute, create derivative works of, publicly display, and publicly perform your User Content, subject to the Privacy Policy.

Menta and its licensors exclusively own all right, title, and interest in and to the Site, Functionality, and Content (excluding User Content), including all associated intellectual property rights. You agree not to remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the Functionality or Content.

Fees

Menta trading services including 0% trading fees, however, you may incur fees for using certain features of the Functionality, including but not limited to fees charged on token swaps executed through third-party exchanges accessed via the Swap Function. Fees are subject to change at any time without notice. Menta will make reasonable efforts to provide you with an estimate of applicable fees at the time you access the Functionality. However, you acknowledge that such estimates are not guaranteed to be accurate and may differ from the fees actually incurred.

Menta is not responsible for any fees charged by third parties, including Dapps or decentralized exchanges accessed through the App. You are solely responsible for understanding and paying all fees associated with your use of third-party services.

No Investment Advice

Menta does not provide investment, financial, or legal advice. Any information provided through the Site or Functionality, including but not limited to rarity scores, token explorer data, or aggregate sentiment information, is for informational purposes only and should not be construed as investment advice or a recommendation to buy, sell, or hold any digital asset. You are solely responsible for evaluating the merits and risks of any transaction or investment decision.

Warranty Disclaimers

The Site and Functionality are provided on an "AS-IS" and "AS-AVAILABLE" basis without any representations or warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by applicable law, Menta disclaims all warranties, including but not limited to warranties of title, merchantability, fitness for a particular purpose, and non-infringement. Menta does not guarantee that the Site or Functionality will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

Limitation of Liability

To the maximum extent permitted by applicable law, Menta shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or digital assets, arising out of or related to your use of the Site or Functionality. In no event shall Menta's total liability to you exceed the amount of one hundred U.S. dollars ($100).

Indemnification

You agree to indemnify, defend, and hold harmless Menta and its affiliates, officers, directors, employees, agents, and representatives from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including reasonable legal and accounting fees, arising out of or related to your use of the Site, Functionality, or User Content, or your violation of these Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Saint Vincent, without regard to its conflict of law principles.

Mandatory Arbitration

Any disputes arising out of or related to these Terms or your use of the Site or Functionality shall be resolved through binding, individual arbitration, unless you opt out within 30 days of accepting these Terms. Arbitration shall be conducted in accordance with the rules of the American Arbitration Association ("AAA").

General Terms

These Terms constitute the entire agreement between you and Menta regarding the Site and Functionality. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Menta may assign these Terms without restriction. Your use of the Site and Functionality is subject to these Terms and any additional policies or guidelines posted by Menta.
